This Standard Contract between Subscriber and Creator (the "Agreement") sets out the terms that govern each transaction between a Subscriber and a Creator on the VewMe platform and on any Creator Site powered by VewMe.
Each time a Subscriber/Creator Transaction (as defined below) is initiated on VewMe or on a Creator Site, this Agreement will apply to the exclusion of any other terms the Subscriber or Creator may propose, and will legally bind the Subscriber and Creator participating in that transaction.
The only parties to this Agreement are the Subscriber and Creator participating in the Subscriber/Creator Transaction. VewMe LLC is not a party to this Agreement and neither grants any rights in respect of, nor participates in, any Subscriber/Creator Transaction, except for acting as a payment intermediary in accordance with the Creator's and Subscriber's instructions set out below.
In this Agreement:
"VewMe" means the website accessed via vewme.com and any Creator Site powered by VewMe, together with any related applications, APIs, or services;
"Content" means any material uploaded to VewMe by any User (whether a Creator or a Subscriber), including photos, videos, audio, livestream material, data, text, metadata, images, interactive features, emojis, GIFs, memes, digital products, and any other material;
"Creator" means a User that operates a Creator Site or Creator account on VewMe to post Content, sell products or services, and engage with Subscribers;
"Subscriber" means a User that subscribes to, purchases from, or otherwise supports a Creator, including a member, supporter, or customer;
"Referring User" means a User that participates in any VewMe referral program;
"Subscriber/Creator Transaction" means any transaction between a Subscriber and a Creator on VewMe by which access is granted to a Creator's Content, community, product, service, or interaction, including: (i) a Subscription; (ii) one-time purchases of pay-per-view Content or digital products; (iii) tips; (iv) paid messaging; and (v) any other paid offering enabled by the Creator;
"Subscriber Payment" means any and all payments made by a Subscriber in respect of any Subscriber/Creator Transaction, including any tips;
"Platform Fee" means the fee charged by VewMe LLC to Creators in accordance with the VewMe Terms of Service or any separate Creator agreement;
"Subscription" means a Subscriber's recurring subscription or membership to a Creator's account or Creator Site;
"Tax" includes all forms of tax and statutory, governmental, state, federal, provincial, local government, or municipal charges, duties, imposts, contributions, levies, withholdings, or liabilities wherever chargeable.
By entering into a Subscriber/Creator Transaction, the Subscriber agrees to pay the Subscriber Payment applicable to that transaction in accordance with the pricing published on the Creator Site, plus any sales tax, VAT, or similar tax that applies. The Subscriber and Creator authorize VewMe LLC (or any of its subsidiaries or service providers) to act as a payment intermediary and to collect, hold, and process the Subscriber Payment and any applicable tax, deduct the Platform Fee and any applicable processor charges, and pay out the remaining sums to the Creator and (if applicable) any Referring User, as described in the VewMe Terms of Service.
Once the Subscriber has made the Subscriber Payment for a Subscriber/Creator Transaction, the Creator grants the Subscriber a limited, personal, non-transferable, non-sublicensable, non-exclusive license to access the applicable Content of that Creator to which the transaction relates (the "Relevant Content"). The license permits the Subscriber to access and view the Relevant Content on the Subscriber's personal device and via a standard web browser (and to make a temporary copy only to the extent it is an incidental and technical part of accessing the Content, such as caching), in accordance with the VewMe Terms of Service.
The Subscriber acknowledges and agrees that the license described in section 5 does not result in the Subscriber acquiring any rights in or to the Relevant Content, which rights shall be retained by the Creator (or the Creator's licensors). Creators own their content. Subscribers do not.
The license granted to a Subscriber in relation to the Relevant Content will expire automatically without notice in the following circumstances:
if the Subscriber Payment relating to the Subscriber/Creator Transaction is unsuccessful, charged back, or reversed for any reason;
in respect of Subscriptions, at the end of the subscription period, unless the Subscription is configured to automatically renew and renewal succeeds;
if the Subscriber's VewMe account is suspended or terminated for any reason;
if the Subscriber acts in breach of the VewMe Terms of Service, Community Guidelines, or Acceptable Content Policy;
if the Content is removed by the Creator from the Creator Site; or
if the Subscriber closes their VewMe account.
In respect of every Subscriber/Creator Transaction, the Subscriber acknowledges that the transaction will result in a supply of digital content or services to the Subscriber as soon as the transaction is completed, and the Subscriber expressly consents to that and confirms awareness that any statutory right to cancel the transaction may therefore be lost. This Agreement does not affect any non-waivable statutory right to receive a refund that the Subscriber may have under applicable consumer-protection law.
In respect of every Subscriber/Creator Transaction:
the Subscriber and Creator agree to comply at all times with the VewMe Terms of Service, Community Guidelines, and Acceptable Content Policy in relation to the Relevant Content, including when accessing, viewing, and interacting with it;
the Subscriber agrees to make the Subscriber Payment required to access, view, or interact with the Relevant Content, and agrees not to initiate a chargeback other than if the Subscriber disputes the transaction in good faith;
the Creator agrees to make the Relevant Content available to the Subscriber once the Subscriber has made the Subscriber Payment;
the Creator warrants that it possesses all necessary rights in and to the Relevant Content sufficient to license it to the Subscriber in the territory in which the Subscriber will be accessing it, and has obtained any and all permissions, releases, and consents required;
the Creator is solely responsible for creating and providing the Relevant Content and provides no guarantee that they will continue to create or provide additional Content on an ongoing basis; and
unless there has been negligence or other breach of duty by the Creator, the Subscriber's access to the Creator's Content is entirely at the Subscriber's own risk.
The Subscriber acknowledges that Creators may add and remove Content at any time at the Creator's sole discretion, and that there may be circumstances in which it is not possible for the Subscriber to have access to Relevant Content, including:
if the Creator's account or Creator Site is suspended, terminated, or deleted;
if the Subscriber's account is suspended, terminated, or deleted;
if all or part of VewMe or the Creator Site is unavailable;
if the Creator is unable to create or upload Relevant Content in the future; or
for any other technical or limiting circumstance.
This Agreement is governed by the laws of the State of Indiana, United States, and any claim arising out of or relating to it must be brought exclusively in the state or federal courts located in Howard County, Indiana, United States. A Subscriber resident outside the United States may also rely on the mandatory rules of the law of the country in which they reside to the extent those rules provide non-waivable protections.
Nothing in this Agreement is intended to, or shall be deemed to, establish any partnership, joint venture, agency relationship, or employer-employee relationship between the Creator and the Subscriber, between either of them and VewMe LLC, or among any of them.
